Legal expenses from 2024.

A bill for $3100 was received from our attorney after the 2024 financial statements were closed. That bill was paid in 2025 Therefore, $3100 was expensed in 2025 that should have been in 2024.

Increase for interpretation services.

The original budget presented at the December 2024 assembly had miscalculations concerning time and # of interpreters required. The board is also implementing Coffee with the Board starting February 2025 that may have interpretation needs. For these reasons, the Board is asking that the membership approve an additional $2,144.00 for translation services.

2. A motion to amend the Bylaws: Section 4.08. Execution of Documents, adding the words (and/or Trustees). (Motion and vote) 2/3 vote required to approve.

“Those Officers (and/or Trustees) designated by resolution of the Board to sign them may execute contracts, agreements, and engagements on behalf of the Intergroup.”

When the bylaws were written, we did not have Trustees as members of the board. It appears

to be an oversight. All members of the board, officers and trustees, have a fiduciary duty to the

membership according to NJ Statutes, Section 15A:6-14. The latitude to designate trustees, as

well as officers to execute documents will allow the board to work more efficiently.

3. The OIAA 2025 – Convention theme selection. (Motion and vote)

The Unity Committee will ask the assembly to select the theme of our 2nd OIAA Online International Convention. Three themes will be posted on the website on 1 March 2025 as candidates for consideration.
