Motion to Amend Bylaws – 21 June 2025 Assembly

Recommended Bylaws and Guidelines Change

Motion: The OIAA Board requests striking the phrase “including the Chairperson’s position as ex officio member of the standing committees” from Bylaws Subsection 4.01(b): Vice Chairperson.

Current Subsection 4.01(b): Vice Chairperson. The Vice Chairperson acts as Chairperson in the absence of the Chairperson. The Chairperson may delegate responsibilities to the Vice Chairperson, including the Chairperson’s position as ex officio member of the standing committees, as the Chairperson deems advisable and agreed upon.  

Proposed Amendment to Subsection 4.01(b):

The Vice Chairperson acts as Chairperson in the absence of the Chairperson. The Chairperson may delegate responsibilities to the Vice Chairperson as the Chairperson deems advisable and agreed upon.  

Justification

The Chairperson is not, in fact, an ex officio member of the standing committees.  

The Chairperson’s job description in the Bylaws does not include the role “ex officio member of the standing committees”, thus the Vice Chair would not follow in that responsibility.  Furthermore, OIAA’s Trustee-at-Large role considers this in Bylaws Subsection 5.3.2:

Subsection 5.3.2  Trustee-at-Large. The Trustee-at-large will work in partnership with the OIAA committees to foster communication, collaboration and avoid duplication of efforts.    The Trustee-at-Large will be available to serve in other areas as determined by the board.  As the membership grows, additional Trustees-at-Large may be added at the discretion of the board.

Please note that the same is repeated in the Guidelines section 5.2.1.2: Vice Chairperson.  

If this Motion to Amend the Bylaws is approved, the Secretary will update the OIAA Guidelines accordingly.
